Vivanza Biosciences Limited is seeking a dynamic Junior Company Secretary to join our Ahmedabad office. This full-time role requires a minimum of 1 year and a maximum of 3 years of relevant work experience. The successful candidate will ensure adherence to company law regulations and support our corporate governance framework, contributing to the overall efficiency of our operations.
Qualifications and Skills
- Proficiency in company law compliance including understanding of statutory requirements related to business practice (Mandatory skill).
- Experience in ROC filings and familiarity with procedures and deadlines as per the Companies Act, 2013.
- Competence in writing minutes detailing key points discussed during board meetings and resolutions passed.
- Skillful in drafting resolutions tailored to company needs while ensuring legal soundness.
- Ability to handle regulatory reporting including preparation and submission of annual reports as required by law.
- Expertise in coordinating board meetings ensuring all documentation and required reports are prepared in advance.
- Understanding of corporate governance to ensure the company operates within regulatory frameworks.
- Strong document management skills to maintain and organize critical legal and business records.
Roles and Responsibilities
- Ensure all legal and regulatory requirements of the company are met, maintaining an in-depth understanding of applicable laws.
- Assist in organizing, preparing agendas and papers for board meetings, and documenting minutes.
- Oversee regulatory filings and adherence to corporate governance while handling confidential documents proficiently.
- Support in drafting and maintaining accurate and up-to-date company resolutions and records.
- Manage statutory books, including registers of members, directors, and secretaries.
- Liaise with external regulators and advisors like lawyers and auditors for accurate compliance.
- Facilitate communication between the board and management ensuring corporate decisions are based on thorough documentation.
- Contribute to the company's strategic objectives, providing insights on compliance challenges and opportunities.
