Roles &amp; Responsibilities:<ul><li>Handling due diligence to assess the legal aspects of a transaction. To review contracts, agreements, financial records, intellectual property, regulatory compliance, litigation history, and other relevant documents to identify potential risks and liabilities.</li><li>Structuring the Transaction to work with clients to determine the most suitable structure for the transaction. This involves choosing between asset or stock purchases, negotiating deal terms, and deciding on the legal entity for the new entity formed after the transaction.</li><li>Handling Regulatory Compliance which may apply to the transaction.</li><li>Contract Negotiation and drafting the transaction agreements, including purchase agreements, merger agreements, and shareholder agreements.
