Job Summary
Mantra Softech is looking for an experienced Company Secretary who would be the manager’s and company executive’s right hand. As Company Secretary, you will be instrumental in helping the office run smoothly, provide support to managers, senior-level executives, and departments. You’ll need to ensure that our company complies with financial and legal requirements, and maintain high standards of corporate governance. You also need to have a thorough understanding of the laws that affect your areas of work so that you are equipped to provide appropriate legal advice whenever needed.
Company secretaries provide guidance to company directors about how their organizations should be directed, managed or controlled. This is also known as corporate governance and it includes ensuring that the company complies with legal and regulatory requirements. Typical responsibilities of the job include:
Roles and Responsibilities
- convening and servicing annual general meetings (AGMs)/meetings (producing agendas, taking minutes, conveying decisions, handling meeting correspondence and so on)
- providing legal, financial and/or strategic advice during and outside of meetings
- training directors and members of the senior leadership team on corporate governance matters
- keeping up to date with any regulatory or statutory changes and policies that might affect the organization
- ensuring that policies are up to date and are approved
- providing support to the board or other committees on specific projects
- in public companies, acting as a point of contact and building good relationships with shareholders
- implementing processes or systems to help ensure good management of the organization or compliance with legislation
- Writing reports, collating information.
Work related to Company Secretary:
- Filling of various forms with RoC / MCA;
- Compliance with various sections of Companies Act and Secretarial Standard;
- Preparation and vetting of various policies as per the requirement of Companies Act;
- Preparation of various minutes book;
- Preparation of statutory registers;
- Preparation of Directors Report and Annual Report and
- Co-ordinating with colleagues and consultants (Chartered Accountants and Company Secretary).
- Work related to Legal
- Vetting and preparation of various agreements such as Non-Disclosure Agreement, Partnership Agreement, Joint Venture Agreement, Lease Agreement, Agreement for Sale and Sales Agreement etc.;
- Discussion with colleagues and outside parties (customer, supplier etc.) regarding various clauses of Agreement; finalization and signing of various agreements and
- Co-ordinating with colleagues and consultants (Lawyer and officers).
